These terms explain the rules for using ZedroForge, how orders and payments work, and the rights and responsibilities of Buyers and Sellers. They include our Refund Policy and Buyer Protection by reference.

1. Who we are and what these terms cover

ZedroForge (“ZedroForge”, “we”, “us”) operates an online marketplace that connects people who want creative services (“Buyers”) with independent freelancers who provide them (“Sellers”).

These Terms of Service (the “Terms”) form a binding agreement between you and ZedroForge and govern your access to and use of the website and all related services (the “Platform”). By creating an account or using the Platform, you confirm that you have read, understood and agree to these Terms. If you do not agree, please do not use the Platform.

ZedroForge is operated from Hungary. The operator’s registered details and contact information are set out in the “Contact” section below.

2. Eligibility and accounts

You must be at least 18 years old and able to enter into a binding contract to use ZedroForge. You may hold only one account, and you are responsible for everything that happens under it.

You agree to provide accurate, current information when you register, and to keep your login credentials secure. Every account is issued a permanent, unchangeable ID. You may verify your email address; some features may require a verified email.

You are responsible for maintaining the confidentiality of your password and for all activity on your account. Tell us promptly if you suspect unauthorised use.

3. The marketplace — our role

ZedroForge provides the Platform, processes payments, and offers buyer protection. Sellers are independent contractors, not our employees or agents. The actual creative work is agreed and performed between the Buyer and the Seller.

Except for our payment, escrow and dispute services, ZedroForge is not a party to the agreement between a Buyer and a Seller for any given order, and we do not create, control or guarantee the work delivered. We do not pre-screen every listing, though we may review, moderate or remove content and accounts as described below.

4. Orders and how they work

Sellers publish listings with one or more packages that set the price, delivery time, number of revisions and what is included. When you place an order you provide a brief and any requirements, and your payment is taken and held securely (see “Buyer protection”).

The Seller delivers the work within the package’s delivery time. You may request the revisions included in your package if the delivery does not match the agreed brief. When you approve the delivery, the order is completed and the Seller’s payment is released.

Buyers and Sellers should communicate through ZedroForge. Keeping orders and messages on the Platform is what allows buyer protection, payments and dispute resolution to work.

5. Seller responsibilities

If you sell on ZedroForge, you agree to describe your services accurately, honour the package terms you set, communicate professionally, and deliver original work that you have the right to provide and sell.

You are responsible for your own taxes, licences and legal obligations relating to your activity. You must not take payments off-Platform, solicit Buyers to transact outside ZedroForge, or otherwise circumvent our fees and protections.

6. Ranking, changes and account actions (for Sellers)

These provisions apply to Sellers as business users of the Platform and reflect EU Regulation 2019/1150 (the “Platform-to-Business” Regulation).

Ranking. How listings appear in search and browse depends mainly on their relevance to the buyer’s query, the quality and completeness of the listing, Seller performance (ratings, reviews, delivery and response times, completed orders), price, and buyer-protection signals. We do not accept payment to influence organic ranking; if we ever introduce paid placement, it will be clearly labelled as such.

Changes that affect Sellers. For changes to these Terms that affect Sellers, we give at least 15 days’ notice before they take effect — longer where the law requires, or with immediate effect where needed for legal, security or fraud reasons. You may close your account before a change takes effect; selling after that means you accept it.

Restrictions, suspension and termination. If we restrict, suspend or end a Seller’s account or listings, we give a statement of the reasons, unless a legal or security reason prevents us. Where the issue is fixable and the measure is reversible, we restore access once it is resolved.

Complaints and mediation. Sellers can raise complaints about the Platform through the Support page; we handle them promptly, fairly and free of charge. If a complaint cannot be settled internally, we are willing to engage in good faith with a mediator to resolve it out of court — without affecting your right to go to court.

7. Payments, fees and payouts

Prices are shown in US dollars (USD) and are set by Sellers. Buyers pay the listed price — ZedroForge does not add a separate buyer fee. ZedroForge’s only fee is a commission of 10% deducted from the Seller’s earnings on each completed order.

Payments are processed by our payment provider, Stripe. By paying, you also agree to Stripe’s applicable terms. Your funds are held by the Platform after payment and are released to the Seller only when the order is completed (see “Buyer protection”).

Seller payouts are made through Stripe Connect to the Seller’s connected account once an order is completed. Sellers must complete payout onboarding to receive funds; until then, earnings are held and released automatically when onboarding is finished.

You are responsible for any taxes that apply to your transactions. Prices may be shown exclusive of taxes that you are required to account for.

8. Cancellations and refunds

Orders can be cancelled and refunded in the circumstances described in our Refund Policy — for example, if the Seller does not deliver, misses the deadline, or the work does not match what was agreed. Please read the Refund Policy, which forms part of these Terms.

9. EU right of withdrawal (consumers)

If you are a consumer in the EU, you normally have 14 days to withdraw from a distance contract without giving a reason. Because ZedroForge is used to buy digital and custom-made creative services, an important exception applies, set out below.

When you place an order and ask the Seller to start, you expressly request that performance begins during the 14-day period and you acknowledge that: you lose the right of withdrawal once the service has been fully performed; and for custom-made or clearly personalised work, and for digital content supplied with your prior consent, the right of withdrawal does not apply once work has begun. If — in the limited cases where withdrawal still applies — you withdraw while a service is only partly performed, you may owe a proportionate amount for the part already done.

This does not reduce your rights under our Refund Policy and Buyer Protection, which can give you more than the statutory minimum — for example, a full refund when a Seller fails to deliver, misses the deadline, or delivers work that does not match the agreed brief.

10. Buyer protection and escrow

When a Buyer pays, the money is charged but held securely by ZedroForge and is not sent to the Seller straight away. It is released only when the Buyer approves the delivery, or in line with our Refund Policy and dispute process. This is what we call buyer protection. See our Buyer Protection page for details.

11. Intellectual property in delivered work

Unless a listing clearly states otherwise, once an order is completed and fully paid, the Seller assigns to the Buyer the rights in the final delivered work to the maximum extent permitted, so the Buyer may use it for the purpose described in the order. Until the order is completed and paid, the Seller retains all rights in the work.

Sellers retain the right to display work in their portfolio unless the order or the parties agree otherwise. Sellers may use third-party assets (fonts, stock, plugins) only if appropriately licensed, and must tell the Buyer about any licence that affects how the delivery can be used.

12. ZedroForge’s intellectual property

The ZedroForge name, logo, design and the Platform itself are owned by ZedroForge and protected by law. These Terms do not grant you any right to use our brand except as needed to use the Platform normally.

13. Your content and the licence you give us

You keep ownership of the content you upload (listings, images, messages, deliverables, reviews). You grant ZedroForge a worldwide, non-exclusive, royalty-free licence to host, store, display and use that content as needed to operate, promote and improve the Platform.

You are responsible for your content and confirm you have the rights to share it and that it does not infringe anyone’s rights or break the law.

14. Acceptable use

You agree not to use ZedroForge to:

  • offer, request or deliver anything illegal, infringing, or that you do not have the rights to;
  • post content that is fraudulent, deceptive, hateful, harassing, sexually exploitative, or that violates others’ privacy or intellectual-property rights;
  • upload malware, attempt to breach security, scrape the Platform, or interfere with its operation;
  • manipulate reviews, ratings or search, or post fake or incentivised reviews;
  • circumvent payments or fees, or move transactions off-Platform;
  • create multiple or fake accounts, or evade a suspension or ban.

15. Reviews and feedback

Buyers may review Sellers after an order is completed. Reviews must be honest and based on a genuine transaction. We may remove content that breaches these Terms, and we may moderate or refuse listings, messages and reviews.

16. Reports, strikes, suspension and termination

Users can report messages or content that break these Terms. Our staff review reports and may dismiss them, warn or strike an account, or remove content. Accounts that accumulate three strikes are removed.

We may suspend or terminate accounts, remove content, or limit access if we reasonably believe these Terms have been broken, to protect users or the Platform, or to comply with the law. You may close your account at any time. Some provisions (such as fees owed, intellectual-property assignments on completed orders, disclaimers and liability) survive termination.

17. Reporting illegal content

If you believe something on ZedroForge is illegal, you can notify us through the Support page or at zedroforge@gmail.com. To help us act quickly, please describe the content, tell us where it is (for example a link, or an order or message reference), explain why you believe it is unlawful, and leave contact details so we can follow up.

We review such notices in a timely, careful and non-arbitrary way and take appropriate action — which may include removing content, restricting a listing, or acting on an account — and we will let you know the outcome. This sits alongside the user reporting and moderation process described above.

18. Disclaimers

The Platform is provided “as is” and “as available”. We do not guarantee that any Seller, listing or delivery will meet your expectations, or that the Platform will be uninterrupted or error-free. ZedroForge does not endorse any Seller or Buyer. Nothing in these Terms excludes rights you have under mandatory consumer-protection law.

19. Limitation of liability

To the maximum extent permitted by law, ZedroForge is not liable for indirect, incidental or consequential losses, or for the acts or omissions of Buyers or Sellers. Our total liability to you for any claim relating to an order is limited to the amount of that order. Nothing here limits liability that cannot be limited by law, including liability to consumers under mandatory law.

20. Indemnity

You agree to indemnify ZedroForge against claims, losses and costs arising from your content, your use of the Platform, your transactions with other users, or your breach of these Terms or the law.

21. Privacy

We process personal data in line with our Privacy Policy and applicable data-protection law, including the EU General Data Protection Regulation (GDPR). Please review the Privacy Policy to understand what we collect and why.

22. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to let you know. Changes take effect when posted, and your continued use of the Platform means you accept the updated Terms.

For changes that affect Sellers, the advance-notice period set out in “Ranking, changes and account actions” applies.

23. Governing law and disputes

These Terms are governed by the laws of Hungary and, where applicable, the European Union, without affecting the mandatory consumer-protection rights of the country in which you live. Disputes will be subject to the competent courts of Hungary, again without affecting any mandatory consumer rights.

Consumers in the EU can also use the European Commission’s Online Dispute Resolution platform to help resolve disputes.

24. General

Force majeure. We are not responsible for delays or failures caused by events beyond our reasonable control — for example outages at our payment, hosting or email providers, network failures, natural events, or acts of government.

Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions stay in full effect.

No waiver. If we do not enforce a provision, that is not a waiver of our right to enforce it later.

Assignment. You may not transfer your rights or obligations under these Terms without our consent. We may transfer ours to an affiliate or to a successor — for example in a reorganisation or sale of the business — without reducing your rights.

Entire agreement. These Terms, together with the Refund Policy, Buyer Protection and Privacy Policy, form the entire agreement between you and ZedroForge about the Platform, and replace any earlier agreements on the same subject.

Notices. We may give you notices through the Platform or by email to the address on your account. You can reach us using the details in the “Contact” section.
